We provide for specialised legal advice in the so-called \u201cregulated\u201d sectors<\/strong> (among which, in particular, the banking and financial activities\u2019one), in which an in-depth knowledge of the relevant EU and Italian law provisions is essential for the proper structuring of commercial agreements between supervised legal entities.<\/p>\n

In addition, we assist the afore-said companies from the drafting of by-laws and articles of association <\/strong>to the fulfilling of the necessary requirements relating to the definition of organisational<\/strong> and corporate governance frameworks <\/strong>(including corporate secretary), administration and internal control<\/strong> systems (and other operational mechanisms), group\u2019s direction and coordination<\/strong>, as well as to the drafting and negotiation of joint venture<\/strong> and partnership<\/strong> agreements.<\/p>\n

We also assist foreign and Italian issuers <\/strong>(listed and non-listed) and investment funds<\/strong> on all legal and regulatory aspects of rights and non-rights issues, stock capital increases<\/strong>, listing<\/strong> and delisting transactions, public offers<\/strong> to buy or exchange shares and private placements<\/strong>, as well as in the drafting of documentation relating to the purchase of own shares<\/strong>, transactions with related parties<\/strong>, placements on secondary markets, and security issues<\/strong>.
