our Clients in relation to <strong>extraordinary transactions<\/strong>, including mergers, acquisitions and split-ups (also <strong>cross-border ones<\/strong>), sales of going concern, corporate reorganisations, and other transactions concerning <strong>corporate and capital frameworks<\/strong>, by intervening in any stage of their implementation (i.e., contractual <strong>due diligence<\/strong>, definition of the proposed transaction\u2019s structure, drafting and negotiation of the relevant <strong>agreements<\/strong>, closing and post-closing fulfillments), as well as by assessing the compliance thereof with EU and Italian <strong>competition<\/strong> law.<\/p>\n<p style=\"text-align: justify;\">Our experience in the so-called<strong> \u201cregulated\u201d sectors<\/strong> allows us to assist foreign and Italian banks, financial institutions, intermediaries, investment firms, asset management companies, insurance companies and payment institutions, in respect of extraordinary transactions (above all, mergers and acquisitions), which require the competent <strong>supervisory authority<\/strong>\u2019s prior approval<strong>.<\/strong> We also counsel <strong>private equity<\/strong> funds on the legal aspects of investment and divestment transactions.<\/p>\n<p style=\"text-align: justify;\">Our integrated approach enables our Clients to justify;\">a <strong>reverse cross-border merger <\/strong>of an investment firm (<em>societ\u00e0 di intermediazione mobiliare<\/em> (SIM)) into its French parent company;<\/li>\n<li style=\"text-align: justify;\">a <strong>sale of going concern<\/strong>, constituted by fund portfolio management contracts, by an asset management company to an Italian credit institution;<\/li>\n<li style=\"text-align: justify;\">an <strong>acquisition of a listed company<\/strong> by a UK holding company;<\/li>\n<li style=\"text-align: justify;\">the<strong> reorganisation of an asset management company<\/strong>, part of a leading global financial institution, for the purpose of its liquidation (and subsequent cancellation from the special register kept by the Bank of Italy);<\/li>\n<li style=\"text-align: justify;\"><strong>transferring abroad of the head office <\/strong>of a company belonging to a pan-European credit institution, and contextual
