class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><strong>On the so-called \u201c<em>Ristori<\/em>\u201d Decrees<\/strong><\/p>\n<p style=\"text-align: justify;\">In response to the second pandemic wave, the Italian Government has introduced further economic measures in favour of enterprises, among which the granting of a non-repayable contribution in favour of those active in those sectors that have been most affected by the latest restrictions on operating activities (e.g., suspension of gaming and betting activities and shows open to the public), provided that they had a VAT number on 25 October 2020 and with turnover and fees registered on April of this year lower than two thirds as compared with the correspondent figures of the same month of last year, as well as to those who activated a VAT number as from 1 January 2019. The amount of the above-mentioned contribution in favour of enterprises located in Regions characterized by a scenario of high or maximum severity and a high level of risk of contagion has also been increased by 50% and the endowment of the fund set up to offset the economic businesses of such enterprises has been increased by 1.45 billion euro.<\/p>\n<p style=\"text-align: justify;\">Finally, tax allowances (including the prolongation of advance payments on taxes on productive activities, and on individuals and enterprises\u2019 income), as well as specific economic measures (e.g., benefits for tourism and entertainment employees) have been introduced by the Ristori-<em>quater<\/em>.<\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.gazzettaufficiale.it\/atto\/serie_generale\/caricaDettaglioAtto\/originario?atto.dataPubblicazioneGazzetta=2020-10-28&amp;atto.codiceRedazionale=20G00166&amp;elenco30giorni=false\" target=\"_blank\" rel=\"noopener\"><em>Law Decree no. 137 of 28<sup>th<\/sup> October 2020, \u201cFurther urgent measures with regard to health protection, support to employees and enterprises, justice and security, as a result to the health emergency\u201d (published in the Official Gazette no. 269, of 28<sup>th<\/sup> October 2020; The latter are required to apply its principles and recommendations starting from the first financial year following 31 December 2020, as well as to inform the market about its implementation in a report to be published in 2022.<\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.borsaitaliana.it\/comitato-corporate-governance\/news\/20201104qa.pdf\" target=\"_blank\" rel=\"noopener\"><em>Corporate Governance Comittee, 1<sup>st<\/sup> collection of Q&amp;A in support of the Corporate Governance Code, of 4<sup>th <\/sup>November 2020 (text available in Italian only).<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>EBA\u2019s recommendations<\/strong> <strong>in view of the so-called \u201cBrexit\u201d transition period <\/strong><\/p>\n<p style=\"text-align: justify;\">EBA has recently reminded to financial institutions that the transition period towards the so-called \u201cBrexit\u201d will expire next 31 December 2020. By then, they must have finalised the full execution of their contingency plans in accordance with the conditions agreed with NCAs, by ensuring adequate communication regarding their preparations and possible changes to their own EU clients.<\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/eba.europa.eu\/eba-reminds-financial-institutions-need-readiness-view-brexit-transition-period-ending-31-december\" target=\"_blank\" rel=\"noopener\"><em>EBA\u2019s recommendations of 9<sup>th <\/sup>November in view of the Brexit transition period.<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>ESMA on the application of the EU\u2019s trading obligation for shares <em>post \u201cBrexit\u201d<\/em><\/strong><\/p>\n<p style=\"text-align: justify;\">As from 1<sup>s<\/sup> January 2021 the trading by EU investment firms of shares with an EEA ISIN on a UK trading venue in UK pound sterling will not be subject to the EU share trading obligations.<\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.esma.europa.eu\/press-news\/esma-news\/esma-sets-out-final-position-share-trading-obligation-0\" target=\"_blank\" rel=\"noopener\"><em>ESMA&#8217;s public statement, of 26<sup>th<\/sup> October 2020 on share trade obligations&#8217;application post Brexit<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>NCA\u2019s notice to UK intermediaries\u2019 clients in view of \u201cBrexit\u201d <\/strong><\/p>\n<p style=\"text-align: justify;\">The NCAs in the banking, financial and insurance sectors have recently issued a notice addressed to UK intermediaries\u2019 clients established in Italy in view of Brexit. After 31 December 2020, such intermediaries will be able to continue to provide for investment services and activities in Italy only if duly authorised as (non-UE) firms. Since such deadline approaching, UK intermediaries\u2019 clients are invited to verify that they have received adequate and complete information therefrom. If not, they are required to contact the intermediaries themselves, in order to obtain the necessary clarification on the existing relationships and their own rights and duties.<\/p>\n<p style=\"text-align: justify;\"><a href=\"http:\/\/www.consob.it\/web\/consob-and-its-activities\/newsletter\/documenti\/english\/en_newsletter\/2020\/year_26_n-41_16_november_2020.html#news2\" target=\"_blank\" rel=\"noopener\"><em>Consob&#8217;s Notice, of 16th November 2020, addresses to clients of UK intermediaries offering financial services and activities in Italy in view of the Brexit transition period.<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.ivass.it\/media\/comunicati\/documenti\/2020\/ivcs443.pdf\" target=\"_blank\" rel=\"noopener\"><em>IVASS&#8217; Notice, of 10<sup>th<\/sup> November 2020, addressed to clients of UK intermediaries offering financial services and activities in Italy in view of the Brexit transition period.<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.bancaditalia.it\/media\/comunicati\/documenti\/2020-02\/ComunicatoStampa_Brexit_Nov_2020.pdf\" target=\"_blank\" rel=\"noopener\"><em>BoI&#8217;s Notice of 9<sup>th <\/sup>November 2020, addressed to clients of UK intermediaries offering financial services and activities in Italy in view of the Brexit transition period.<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>EBA\u2019s public consultation on the revision of its Guidelines on sound remuneration policies<\/strong><\/p>\n<p style=\"text-align: justify;\">EBA\u2019s public consultation on the revision of its own guidelines on sound remuneration policies, taking into account the novelties at issue introduced by CRD V, will end on 21 January 2021. In particular, EBA:<\/p>\n<ol style=\"text-align: justify;\">\n<li>suggests to financial institutions to implement a gender-neutral remuneration policy with regard to own staff; and<\/li>\n<li>will follow up on such institutions\u2019 practices by means of a report to be published within two year after the publication of the final guidelines.<\/li>\n<\/ol>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/eba.europa.eu\/eba-launches-consultation-revised-guidelines-sound-remuneration-policies\" target=\"_blank\" rel=\"noopener\"><em>EBA&#8217;s public consultation of 25<\/em><em><sup>th<\/sup><\/em><em> October 2020 on revised guidelines on sound remuneration policies.<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>FBS\u2019s public consultation on outsourcing<\/strong><\/p>\n<p style=\"text-align: justify;\">A FSB\u2019s public consultation, which takes into account the possibility of a systemic risk arising from the concentration in the provision of some outsourced and third-party services, will end on 8 January 2021. In particular, FSB suggests to financial institutions to ensure that their contractual agreements with outsourcees and third parties grant to the latter (as well as to supervisory and resolution Authorities) appropriate rights to access, audit and request for information.<\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.fsb.org\/2020\/11\/fsb-consults-on-regulatory-and-supervisory-issues-relating-to-outsourcing-and-third-party-relationships\/\" target=\"_blank\" rel=\"noopener\"><em>FSB&#8217;s public consultation of 9<sup>th<\/sup> November 2020, on regulatory and supervisory issues relating to outsourcing and third-party relationships.<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>Entry into force of the European preservation seizure over bank accounts <\/strong><\/p>\n<p style=\"text-align: justify;\">On 1 December 2020, the Legislative Decree aligning national legislation with the EU provisions establishing a single procedure for the preservation seizure over bank accounts will enter into force. Such provisions aim at recovering cross-border credits in civil and commercial matters. To those procedures falling within the scope of the relevant EU legislation, apply, where compatible, the provisions of the Italian Code of Civil Procedure.<\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.gazzettaufficiale.it\/eli\/id\/2020\/11\/16\/20G00173\/SG\" target=\"_blank\" rel=\"noopener\"><em>Legislative Decree no. 152 of 26<sup>th<\/sup> October 2020, adapting national legislation to Regulation (EU) no. 655\/2014 of the EU Parliament and of the Council of 15 May 2014, establishing a European account preservation order procedure to facilitate cross-border debt (published in the Official Gazette no. 285 of 16<sup>th<\/sup> November 2020); (text available in Italian only).<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>Council of State\u2019s opinion on the Ministry of Economic and Finance\u2019s draft decree concerning corporate officers\u2019 requirements <\/strong><\/p>\n<p style=\"text-align: justify;\">The Council of State has provided for a positive opinion on a draft decree issued by the Ministry of Economic and Finance concerning suitability requirements and criteria for the appointment of bank\u2019s corporate officers, specifying that it is in accordance with CRD V\u2019s provisions and capable of filling the gaps existing in the current national regulatory framework, for it introduces a definition of independent director, professional requirements for the directors of all types of bank (including cooperative ones), as well as specific rules for monistic and dualistic corporate models.<\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.giustizia-amministrativa.it\/web\/guest\/dcsnprr?p_p_id=GaSearch_INSTANCE_2NDgCF3zWBwk&amp;p_p_state=normal&amp;p_p_mode=view&amp;_GaSearch_INSTANCE_2NDgCF3zWBwk_javax.portlet.action=searchProvvedimenti&amp;p_auth=ZQgWjJSP&amp;p_p_lifecycle=0\" target=\"_blank\" rel=\"noopener\"><em>Council of State&#8217;s Opinion, no. 1604 of 16<sup>th<\/sup> October 2020 (text available in Italian only, upon prior registration).<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>The \u201cfloor\u201d rate in a loan agreement according to the Civil Court of Rome<\/strong><\/p>\n<p style=\"text-align: justify;\">The presence of a \u201cfloor\u201d rate clause does not turn <em>per se<\/em> a loan agreement into a financial instrument.
