style=\"text-align: justify;\"><strong>How the National Innovation Fund will invest<\/strong><\/p>\n<p style=\"text-align: justify;\">The Ministry of Economic Development has recently issued a decree, which sets out the modalities by means of which the National Innovation Fund (whose Italian acronym is FNI) may invest in support of venture capital related business. Among them:<\/p>\n<ol style=\"list-style-type: lower-alpha;\">\n<li style=\"text-align: justify;\">venture capital funds managed by companies authorised by the Bank of Italy (\u201c<u>BoI<\/u>\u201d), or (directly) startups, scaleups and\/or unlisted SMEs with an high potential capital growth; and<\/li>\n<li style=\"text-align: justify;\">listed companies up to 15% of their stock capital.<\/li>\n<\/ol>\n<p style=\"text-align: justify;\">The FNI has a starting financial endowment, provided for in the Budget Law for 2019, of approximately 1 billion Euros and will be managed by Cdp Group<em>.<\/em><\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.gazzettaufficiale.it\/atto\/serie_generale\/caricaDettaglioAtto\/originario?atto.dataPubblicazioneGazzetta=2019-07-29&amp;atto.codiceRedazionale=19A04896&amp;elenco30giorni=true\" target=\"_blank\" rel=\"noopener\"><em>Interministerial Decree 27<sup>th <\/sup>June 2019 \u201cDefinition of the investment modalities of the Ministry of Economic Development through the Venture Capital Support Fund\u201d (in the Official Gazette no. 176 of 29<sup>th<\/sup> July 2019 (text available in Italian only)). <\/em><\/a><\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"CorporateLaws_of_contract\"><\/span>Corporate\/Laws of contract<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><strong>Limits to the right of information of the non-executive quota-holder of a limited liability company on the latter\u2019s controlled companies<\/strong><\/p>\n<p style=\"text-align: justify;\">The non-executive quota-holder of a limited liability company has the right to access the corporate documents pursuant to art. 2476, paragraph 2, of the Italian Civil Code, but not also to those of the LLC\u2019s controlled companies, for the above right of information is limited to &#8220;<em>know the controlled companies\u2019 corporate documents, as well as those related to the most important management choices<\/em>&#8221; of the same companies.<\/p>\n<p style=\"text-align: justify;\"><em><u>Court of Turin, order dated 20<sup>th<\/sup> February 2019.<\/u><\/em><\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"Banking_law\"><\/span>Banking law<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><strong>Updated Bank of Italy\u2019s Supervisory Provisions for banks in implementation of PSDII<\/strong><\/p>\n<p style=\"text-align: justify;\">The BoI\u2019s Supervisory Provisions for banks have been recently updated, which transpose some provisions issued by the European Banking Authority (&#8220;<u>EBA<\/u>&#8220;) containing:<\/p>\n<ol style=\"list-style-type: lower-alpha;\">\n<li style=\"text-align: justify;\">guidelines on measures to tackle operational risks and increase payments\u2019 security, to report serious incidents, as well as on the conditions to be met for exemption from the emergency mechanism envisaged in implementation of the Directive (EU) 2015\/2366 (\u201c<u>PSDII<\/u>\u201d);<\/li>\n<li style=\"text-align: justify;\">recommendations on outsourcing to cloud service providers; and<\/li>\n<li style=\"text-align: justify;\">information on the administrative procedures introduced by the PSD2, which envisage technical standards for the so-called \u201cstrong authentication\u201d of the clients and open communication standards.<\/li>\n<\/ol>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.bancaditalia.it\/compiti\/vigilanza\/normativa\/archivio-norme\/circolari\/c285\/\" target=\"_blank\" rel=\"noopener\"><em>28<sup>th<\/sup> update dated 26th July 2019 to the Bank of Italy&#8217;s Circular no. 285 of 17<sup>th<\/sup> December 2013. (Text available in Italian only). <\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>New Bank of Italy Supervisory Provisions Payment for institutions and electronic money institutions<\/strong><\/p>\n<p style=\"text-align: justify;\">The BoI has recently issued new provisions in question for payment institutions (&#8220;<u>PI<\/u>&#8220;) and electronic money institutions (whose Italian acronym is &#8220;<u>IMEL<\/u>&#8220;), which have object:<\/p>\n<ol style=\"list-style-type: lower-alpha;\">\n<li style=\"text-align: justify;\">the modalities by which a bank can deny or revoke the opening or keeping of a payment account at the same bank in favor of a PI;<\/li>\n<li style=\"text-align: justify;\">the application also to a PI and an IMEL of the definition of &#8220;own funds&#8221; (capital stock that each bank must hold to satisfy the prudential supervisory requisites);<\/li>\n<li style=\"text-align: justify;\">the strengthening of organisational control procedures;<\/li>\n<li style=\"text-align: justify;\">the registration procedure for the Account Information Services Providers (\u201c<u>AISP<\/u>\u201d), and the additional requisites that the latter must hold to operate, given the nature as payment services of those provided by them; and<\/li>\n<li style=\"text-align: justify;\">the carrying out of cross-border and AISPs by other activities.<\/li>\n<\/ol>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.bancaditalia.it\/media\/notizia\/provvedimento-in-materia-di-apertura-e-mantenimento-di-conti-di-pagamento-presso-una-banca-a-favore-di-istituti-di-pagamento\/\" target=\"_blank\" rel=\"noopener\"><em>Bank of Italy&#8217;s provision of 23<sup>th<\/sup> July 2019in the matter of opening and maintenance of payment accounts at banks in favor of payment institutions. (Text available in Italian only).<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>Nullity of the so-called \u201ccombined\u201d transactions<\/strong><\/p>\n<p style=\"text-align: justify;\">Ruling on the recent cases involving the co-operative banks established in the Veneto region, the Civil Court of Venice has declared null and void the loan granted to a client by a cooperative bank for the purchase of its own shares (the so-called &#8220;combined&#8221; transactions), pointing out that the prohibition of financial aid provided by art, 2358 of the Italian Civil Code for the purchase of shares of a joint-stock company applies also to co-operative companies, as the mutual purpose of the latter does not <em>per se<\/em> justify the carrying out of transactions capable of infringing the economic balance of the corporate structure of such companies.<\/p>\n<p style=\"text-align: justify;\"><em><u>Civil Court of Venice, decisions nos. 1758 and 1760 of 29<sup>th<\/sup> July 2019.<\/u><\/em><\/p>\n<p style=\"text-align: justify;\"><strong>A bank can be sanctioned for violation of its information obligations <em>vis-\u00e1-vis<\/em> the client even if the latter has ratified its operations<\/strong><\/p>\n<p style=\"text-align: justify;\">A financial transaction carried out without evidence of the related order by the client may acquire full validity following the latter\u2019s ratification. However, the bank must priorly communicate to the client all the risks arising from the proposed transaction. Therefore, the ratification is not sufficient to exempt the bank from liability for failure to fulfil the disclosure obligation on the transaction\u2019s risks.<\/p>\n<p style=\"text-align: justify;\"><a href=\"http:\/\/www.italgiure.giustizia.it\/xway\/application\/nif\/clean\/hc.dll?verbo=attach&amp;db=snciv&amp;id=.\/20190522\/snciv@s61@a2019@n13709@tO.clean.pdf\" target=\"_blank\" rel=\"noopener\"><em>Civil Court of Cassation, Section VI, order no. 13709 of 22<sup>th<\/sup> May 2019.<\/em><\/a><\/p>\n<h2 style=\"text-align: justify;\"><span class=\"ez-toc-section\" id=\"Financial_law\"><\/span>Financial law<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p style=\"text-align: justify;\"><strong>New EU Regulation on the Pan-European Personal Pension Product<\/strong><\/p>\n<p style=\"text-align: justify;\">The European Regulation related to the pan-European Personal Pension Product (\u201c<u>PEPP<\/u>\u201d) has been recently published, which sets out provisions on a long-term complementary insurance instrument that does not envisage reimbursements except in limited cases. In order to guarantee a uniform application thereof in the EU, the Regulation laids down rules on PEPPs\u2019 registration, distribution and supervision.<\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/eur-lex.europa.eu\/legal-content\/EN\/TXT\/HTML\/?uri=CELEX:32019R1238&amp;from=IT\" target=\"_blank\" rel=\"noopener\"><em>Regulation (EU) 2019\/1238 of the European Parliament and of the Council of 20<sup>th<\/sup> June 2019 on a pan-European Personal Pension Product (in Official Gazette no. <\/em><em>L.198\/1 of the 25<sup>th <\/sup>July 2019).<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>ESMA consultation on compliance according to MiFID II<\/strong><\/p>\n<p style=\"text-align: justify;\">The European Securities and Markets Authority (\u201c<u>ESMA<\/u>\u201d) submitted for consultation the new guidelines on the compliance according to <em>Directive 2014\/65\/UE on market in financial instruments (\u201c<\/em><u>MiFID II<\/u>\u201d)<em>,<\/em> among which:<\/p>\n<ol style=\"list-style-type: lower-alpha;\">\n<li style=\"text-align: justify;\">the assignment to compliance not only of consultancy, but also of assistance related tasks;<\/li>\n<li style=\"text-align: justify;\">the extension of the scope of the compliance officer\u2019s annual report, so as to include the handling of complaints;<\/li>\n<li style=\"text-align: justify;\">the need for the compliance officer to satisfy the requirements of professional ethics and personal integrity; and<\/li>\n<li style=\"text-align: justify;\">the confirmation of the principle that, in the event of an outsourcing, the investment firm will in any case be fully responsible for it.<\/li>\n<\/ol>\n<p style=\"text-align: justify;\">The deadline for participating to the consultation is 15<sup>th<\/sup> October 2019.<\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.esma.europa.eu\/press-news\/esma-news\/esma-consults-mifid-ii-compliance-function-requirements\" target=\"_blank\" rel=\"noopener\"><em>Consultazione ESMA sui requisiti della funzioni di conformit\u00e0 secondo MIFID II del 15 luglio 2019. <\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>Amendment to the Markets Regulation<\/strong><\/p>\n<p style=\"text-align: justify;\">The <em>Commissione Nazionale per le Societ\u00e0 e la Borsa<\/em> (\u201c<u>Consob<\/u>\u201d)\u2019s Regulation on financial markets has been recently amended, providing for, <em>inter alia<\/em>, (i) the shareholdings that may be held by the regulated market\u2019s management company, (ii) the latter&#8217;s information obligations, as well as (iii) the modalities for communicating the intention to use the exemption by virtue of the exercise of an ancillary activity. The above amendments entered into force on 11<sup>th<\/sup> September, last.<\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.gazzettaufficiale.it\/atto\/serie_generale\/caricaDettaglioAtto\/originario?atto.dataPubblicazioneGazzetta=2019-09-10&amp;atto.codiceRedazionale=19A05562&amp;elenco30giorni=false\" target=\"_blank\" rel=\"noopener\"><em>Consob Resolution no. 21028 of 3<sup>rd <\/sup>September 2019 (in the Official Gazette no. 212 of 10<sup>th<\/sup> September 2019 (text available in Italian only)).<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>Supplemental and amending measures to MiFID II implementing decree <\/strong><\/p>\n<p style=\"text-align: justify;\">A public consultation, launched by the Ministry of Economy and Finance (&#8220;<u>MEF<\/u>&#8220;), on supplemental and amending measures to the decree transposing MiFID II into national law, ended last June, providing for:<\/p>\n<ol style=\"list-style-type: lower-alpha;\">\n<li style=\"text-align: justify;\">in the area of \u200b\u200bsupervision, a more detail allotment of competences between Consob and the Italian Insurance Supervisory Authority (\u201c<u>IVASS<\/u>\u201d) on the distribution of insurance based investment product (&#8220;IBIPs&#8221;), as well as the strengthening of Consob\u2019s powers of to combat phenomena of abusive exercise of investment activity;<\/li>\n<li style=\"text-align: justify;\">in relation to the door-to-door selling, the possibility for asset managers to extend such activity to their own pension funds; and<\/li>\n<li style=\"text-align: justify;\">with regard to crowdfunding, the introduction of the principle whereby portal managers cannot access investor compensation schemes and must provide themselves with a full insurance coverage.<\/li>\n<\/ol>\n<p style=\"text-align: justify;\"><a href=\"http:\/\/www.dt.tesoro.it\/export\/sites\/sitodt\/modules\/documenti_it\/attivo_patrimonio\/consultazioni_pubbliche\/Proposte_correttivo_MiFIDII.pdf\" target=\"_blank\" rel=\"noopener\"><em>Public consultation on the supplemental and amending provisions to be made to the Legislative Decree no. 129 of 2<sup>rd<\/sup> August 2017, implementing Mifid II<\/em><\/a><em><u> in Italy<\/u><\/em><em><u>. <\/u><\/em><\/p>\n<p style=\"text-align: justify;\"><strong>New Consob Operating Guide on systematic internalisers<\/strong><\/p>\n<p style=\"text-align: justify;\">Consob has recently published a new guide to systematic internalisers operating in Italy, providing for:<\/p>\n<ol style=\"list-style-type: lower-alpha;\">\n<li style=\"text-align: justify;\">the obligation to notify their status to Consob itself;<\/li>\n<li style=\"text-align: justify;\">the conditions of their operations;<\/li>\n<li style=\"text-align: justify;\">the publication of irrevocable quotes relating to equity and equity-like financial instruments, as well as to non-equity financial instruments; and, finally<\/li>\n<li style=\"text-align: justify;\">the set of informations to be provided to Consob.<\/li>\n<\/ol>\n<p style=\"text-align: justify;\"><a href=\"http:\/\/www.consob.it\/web\/area-pubblica\/mercati-finanziari-internalizzatori-sistematici\" target=\"_blank\" rel=\"noopener\"><em>Consob Operating Guide on systematic internalisers of 1<sup>st <\/sup>August 2019 (text available in Italian only).<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>Transaction on own shares and repurchase of bonds: new Consob guidelines expected soon<\/strong><\/p>\n<p style=\"text-align: justify;\">The consultation on Consob&#8217;s proposed guidelines for transactions on own shares, as well as a communication on the repurchase of bonds has been recently concluded. The new guideline (and the new communication) will include information on transparency, operating procedures, limits and conditions for transactions on own shares (against the risks of market abuse) and for the repurchase of bonds at predetermined conditions, as well as information to be provided to clients.<\/p>\n<p style=\"text-align: justify;\"><a href=\"http:\/\/www.consob.it\/web\/area-pubblica\/consultazioni?viewId=consultazioni_in_corso\" target=\"_blank\" rel=\"noopener\"><em>Proposal for the adoption of guidelines on the performance of operation on treasury shares, as well as a communication on the repurchase of bonds (terminated on 19<sup>th<\/sup> September, last (text available in Italian only)).<\/em> <\/a><\/p>\n<p style=\"text-align: justify;\"><strong>Irretroactivity of the confiscation for an equivalent value<\/strong><\/p>\n<p style=\"text-align: justify;\">The ancillary sanction of confiscation for equivalent cannot be applied retroactively to the torts committed before the introduction of such a measure by means of the law which has decriminalised the offence of insider trading (namely, Law no. 62 of 18<sup>th<\/sup> April 2005), for such administrative sanctioning treatment is, in practice, more burdensome than that previously in force.<\/p>\n<p style=\"text-align: justify;\"><a href=\"http:\/\/www.italgiure.giustizia.it\/xway\/application\/nif\/clean\/hc.dll?verbo=attach&amp;db=snciv&amp;id=.\/20190826\/snciv@s20@a2019@n21700@tS.clean.pdf\" target=\"_blank\" rel=\"noopener\"><em>Civil Court of Cassation, Sec. II, decision no. 21700 of 28<sup>th<\/sup> August 2019 (text available in Italian only).<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>Validity of the framework agreement for the provision of financial services signed only by the client <\/strong><\/p>\n<p style=\"text-align: justify;\">The requirement for the written form of the framework agreement that regulates the provision of financial services is deemed to be met if (i) the agreement is drawn up in writing and (ii) a copy thereof is given to the client, even if it has been signed only by the latter. Indeed, the intermediary\u2019s signature is not necessary, since the latter\u2019s consent can be inferred from his conduct.<\/p>\n<p style=\"text-align: justify;\"><a href=\"http:\/\/www.italgiure.giustizia.it\/xway\/application\/nif\/clean\/hc.dll?verbo=attach&amp;db=snciv&amp;id=.\/20190827\/snciv@s61@a2019@n21750@tO.clean.pdf\" target=\"_blank\" rel=\"noopener\"><em>Civil Court of Cassation, Sec. VI, order n. 21750 of 27<sup>th<\/sup> August 2019 (text available in Italian only).<\/em><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>The <em>favor rei<\/em> principle is not applicable in relation to administrative proceedings <\/strong><\/p>\n<p style=\"text-align: justify;\">According to the Supreme Court, in case of breach of any of the provisions relating to clients\u2019 profiling and suitability assessment under MIFID, as well as to the pricing of the products offered, committed prior to 8<sup>th<\/sup> March 2016 (date of the entry into force of the new regime introduced upon implementation of CRDIV (Directive 2013\/36\/UE) and CRR (Regulation (EU) no. 575\/2013) in Italy), Consob, in sanctioning a bank\u2019s director, who has committed the offence, cannot apply the treatment most favorable to the latter that entered in force from 8<sup>th<\/sup> March 2016. Indeed, such administrative pecuniary sanction is not so afflictive as to attribute to the offence at issue a substantially criminal nature.
